Terms of Service

1. What this document is

These terms are our offer to everyone who uses Omni. You accept them by creating an account or by paying us, whichever happens first. If you do not accept them, do not create an account and do not pay.

We have written them in plain language on purpose. If anything here is unclear, ask us before you pay.

In this document "we" and "us" mean Omni GTO (IVAKIN ANATOLII PE). Our details are at the end of this document. "You" means the person holding an Omni account.

2. What you are buying

Omni is a poker solver. The part that does the computing is called the core, and it runs on a machine you own or rent. We do not run it for you and we do not sell computing time. Our website also hosts the solver panel, which you use to control your own core.

Omni is software that we develop, test, maintain and update ourselves. What you buy from us is the right to use that software, and it is two things together:

  • a licence to run the core on your own machine, for as long as your plan is active, and
  • access to the solver panel and to the files the core needs.

The machine is yours. You choose it, you pay for it, and its cost is not part of what you pay us. What a game asks of it varies a lot: the smallest need a few gigabytes of memory, the biggest need hundreds. The requirements are on our site, and the free plan and the trial week are there so you can check your own machine before you pay.

3. Your account

You must be at least 18 years old to hold an account.

You are responsible for everything done through your account.

Keep your account token private. Your cores send it to prove which account they belong to. If it reaches someone else, replace it in your account: the old one stops working at once.

4. Plans, games and cores

Each plan gives access to a set of games. A higher plan includes everything the plans below it include. Without a paid plan your account sits on the free plan: every game on one fixed flop, solved in full, with every analysis tool. Preflop is not part of the free plan.

Your plan sets how many cores can work at the same time. You can install the core on as many machines as you like. A machine takes one of those places while its core is in use and frees it when the core stops, so you can move your licence from one machine to another. Today the installer puts one core on a machine, so each core that runs at the same time needs its own machine.

If your plan ends and you do not renew it, your account goes back to the free plan: every game on the one fixed flop, and one core. Spots outside the free plan cannot be started or opened until the plan is active again. The software stays on your machine, and a solve that was already running keeps running there.

If a plan gains a game later, everyone on that plan gets it, at no extra cost. On a subscription it opens at your next renewal.

You can move to a higher plan at any time. The unused part of the plan you are on counts towards the price of the new one.

5. What "Lifetime" means

Lifetime refers to the operating life of the Omni service, not to the lifetime of the buyer. A one-time payment gives your account access with no end date to the solver panel, to solver file downloads and to updates, for as long as the service runs.

The licence belongs to your account. It cannot be transferred or resold. Solver computation runs on a machine you rent or own and pay for separately, and that cost is yours. Support comes with it on the same terms as any other plan, which section 14 sets out.

If we permanently stop the service, we will give at least twelve months notice, and we stop selling Lifetime on the day we announce it. If the service closes less than three years after your purchase, we refund part of what you paid. That part gets smaller every day across those three years, and we count to the day the service closes, not to the day we announce it. A closing one year after your purchase returns two thirds, two years after your purchase one third, and after three years nothing. Anyone who bought before the announcement therefore keeps at least one more year of use. If something outside our control forces us to close sooner than twelve months, we still count as if the full twelve months had been given, so short notice never shrinks your refund. Section 15 says how that money is paid.

We may transfer this agreement to a company that continues the service on the same terms.

6. Prices and payment

Prices are in US dollars. You can pay in cryptocurrency or by card, both through a payment provider. We take cryptocurrency in the way that sends the payment straight to us, without a middleman holding your coins.

Paying in cryptocurrency costs money: a fee to our payment provider, and a fee to the coin's own network. So the payment page asks for a little more coin than the price, and your account is credited with the price in dollars. How much more you pay depends on the coin and the network you choose, and the difference between them can be large, so it is worth comparing before you pay.

Money you send arrives on your account as Balance, and you spend Balance on plans and other purchases. If you send less than an invoice asks for, we credit what arrived and the invoice waits for the rest. If you send more, we credit all of it and the extra stays as Balance. An invoice is paid in full or not at all, so until the rest arrives the plan does not start.

Cryptocurrency payments go through our payment provider. Its payment page names the address, the network and the amount, and that page is the only place to take them from. If a payment does not reach your Balance within a day, write to us with the transaction id and we will chase it with the provider. Coins sent in a network that page did not ask for are usually impossible to get back, for the provider and for us.

7. Balance and Bonus

Money you pay in sits in your Balance. Bonus is a second kind of balance that you earn rather than pay in. You get it as a reward for certain things, such as bringing in someone who buys through your referral link or starting a trial week, and from promotions we run from time to time. Bonus can cover up to half of any invoice. Bonus expires twelve months after we add it to your account, it cannot be moved to another account, and it cannot be turned into Balance or paid out as money.

8. Trial

A Trial Week is an ordinary purchase that opens every game for one week. The week starts the moment you pay. When it starts, we add $39.00 to your account as Bonus. That is a gift for starting, not a refund of the price, and section 7 says how Bonus can be spent.

The trial week is for a new account. You cannot take one while you have a plan, and while your trial week runs, plans are not on sale. They open again the moment the week ends.

One trial week per account, for all time. The clock starts when you pay, so connect your core before you buy. The free plan lets you install the software and check your machine first.

9. Referrals

Everyone has a referral link from the start. If someone signs up through yours and pays, you receive ten per cent of their invoices as Bonus, for twelve months from their first payment. They receive ten per cent off their first subscription invoice, on standard monthly and yearly plans, and that discount expires ninety days after they sign up.

A payment counts once the fourteen-day refund period in section 11 has passed without a refund. A refund cancels the commission on it. Your Bonus becomes available to spend when those fourteen days are over, and it expires twelve months after we add it.

10. Renewal and cancellation

Subscriptions renew automatically from your Balance. We issue the invoice a week ahead and take the money on the renewal day. If your Balance does not cover it, the invoice stays open and you pay it yourself. We never charge a card or a wallet on our own. You can turn renewal off at any time from your account, and turning it off does not end anything early: you keep what you paid for until the period ends.

If a renewal is not paid, access stops on the day the paid period ends. For fourteen days after that your price is still held for you: pay within them and you carry on at the same price. The new period runs from the day you pay, and your billing day moves with it. After those fourteen days the price you had is gone. We change prices rarely, so this is usually the same price anyway. It matters if you had a special price, for example a founder price, because that one does not come back.

11. Refunds

You can change your mind within fourteen days. Any purchase can be refunded, once: one refund per account, for all time. Write to us, and you do not have to give a reason. The window closes fourteen days after you paid, or the moment what you bought ends, whichever comes first. For a trial week that is the end of the week.

After that one refund, later purchases are not refunded. By then you have used Omni and you know what it does. Section 16 lists the cases where we refund nothing.

How you get it back depends on how you paid. A card payment goes back to the card you paid with. The card networks make that payment, not us, so it usually takes days and can take a couple of weeks. A cryptocurrency payment comes back to your Balance, usually the same day. Balance is your money on your account, and it is worth exactly what you paid: it covers any plan, any extra core and any renewal in full, with no limit and no expiry date. You can put it straight into a different plan, or leave it there and decide later.

A refund undoes the purchase. What you bought stops on the day we refund it. Bonus earned on that purchase, yours and your referrer's, comes back off with it, and the part of the invoice you paid with Bonus returns as Bonus.

We refund what reached us. That is the price on your invoice. The fees you paid to the payment provider and to the coin's network never reached us, so they are not ours to give back.

We do not send cryptocurrency back. Payments reach us through a provider rather than directly: you choose the coin you pay in, the provider converts it, a different coin arrives to us, and the rate between the two moves. A refund in coins would not match the original amount, not in your coin and not in ours. So money that reached us as cryptocurrency stays with you as Balance. It is yours to spend on anything we sell, for as long as you like, but it does not leave as coins. The one exception is section 15: if we ever close the service, there is nothing left to spend Balance on, so we pay out then.

Unspent Balance that came in by card can go back to that card, at any time, not only within fourteen days. We send back at most what you have paid us by card in total, because a card refund must not become a way to turn coins into card money.

Bonus is not refunded. It is granted rather than paid for.

12. What belongs to whom

Omni, the core, the solver panel and the solver files are ours. Your licence lets you run them. It does not let you copy them for anyone else, publish them, sell them, rent them out, or take them apart to see how they are made.

What you produce with Omni is yours. Your solves, your ranges, your trees, your notes. We do not claim anything in them. Solve results are never uploaded to us and stay on your machine. What you type in, such as the ranges you set for a spot, passes through our server on the way to your core and can appear in our service logs.

If you find our software published somewhere it should not be, tell us at legal@omnigto.com and we will deal with it.

13. Using Omni with poker sites

Omni is a tool for studying poker away from the table. Most poker sites forbid using software for help while a hand is in progress, and some ban certain tools completely. Whether you may use Omni, and how, is between you and the site you play on. We do not know their rules and cannot promise you anything about them, so read them.

Whether playing poker for money is legal where you live is also your responsibility.

14. Availability and support

We do not promise how much of the time the solver panel will be online. We are a small team, and that promise would not be honest. We watch it, we fix it, and we need it working as much as you do. Your solves run on your own machine, so if our side goes down you cannot start a solve, stop a solve or read a result, but a solve that is already running is not interrupted.

Support is by email and on our Discord, answered as quickly as we can. It does not include writing custom software for you.

15. If we stop the service

If we ever stop running Omni permanently, we will say so at least twelve months in advance.

If you have a subscription when we close, we refund the part of the paid period you did not use. If you have a Lifetime licence, section 5 says what comes back to you.

The panel keeps working through the whole notice period, so you have twelve months to open, export and keep everything you have solved. For anyone who wants to go on working with those solves afterwards, we will offer a standalone version that runs without our servers.

At closing we pay the money out rather than put it on your Balance, because there is nothing left to spend Balance on. This is also the one time we send cryptocurrency back. We agree the way with each person: a card refund only works while the card networks still accept one against that payment, which is months and not years, so for older payments and for coins we agree the wallet, the network and the amount with you and send it there.

We are not going to write here that we may stop at any time for any reason. You are paying for something that is supposed to last, and a clause like that would make the rest of this document worth less than the document meaningless.

16. If we close your account

We may suspend or close an account that pays fraudulently, reverses a payment after using the product, or deliberately gets around the licence limits or tries to, for example by running more cores than the plan allows. In those cases we do not refund the period in progress, and Balance left on the account is not paid out.

17. If you close your account

You can close your account at any time by asking us.

If Balance is left on it, we send back the part that came in by card, to the card it came from and under the card limit in section 11. The part that came in as cryptocurrency cannot be paid out, so spend it before you close the account.

18. Your data

What we hold and why is in our Privacy Policy. The short version: we hold your email, your payments and the technical records needed to run the service, and the results of your solves live on your machine rather than on ours.

19. Changes to these terms

We may change these terms. If a change is important, we will email you at least thirty days before it takes effect, and you can stop your subscription before then if you disagree. If a law or our payment provider forces a change faster than that, we will tell you as soon as we know. We may fix wording without notice, as long as the fix changes neither what you get nor what you pay, and the date at the top shows when we last changed this document.

Changes never apply backwards to a purchase you have already made.
